By accessing or using VeriSchema's website (verischema.com) and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
We reserve the right to modify these Terms at any time. Your continued use of the Services after changes constitutes acceptance of the modified Terms.
2. Description of Services
VeriSchema provides enterprise data normalization, validation, and analytics services. Our platform transforms fragmented enterprise data into canonical, explainable insights for executive decision-making.
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time without prior notice.
3. User Accounts and Registration
To access certain features of our Services, you may be required to register for an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized use
We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or illegal activity.

You retain all rights to data you provide to us ("Your Data"). By using our Services, you grant us a limited license to:
- Process and analyze Your Data to provide the Services
- Create anonymized, aggregated insights for service improvement
- Store Your Data as necessary to provide the Services
We will not share Your Data with third parties except as described in our Privacy Policy or with your explicit consent.
6. Payment and Billing
Certain aspects of our Services may require payment. By subscribing to paid Services, you agree to:
- Pay all fees as described in your service agreement
- Provide accurate billing information
- Authorize us to charge your payment method
- Pay applicable taxes
Fees are non-refundable except as required by law or as explicitly stated in your service agreement. We reserve the right to change our pricing with 30 days' notice.

7. Free Assessments
Our free data quality assessments are provided "as-is" for informational purposes only. While we strive for accuracy, we make no guarantees regarding the completeness or accuracy of assessment results. Free assessments do not create any obligation for either party.
8. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of using our Services. This obligation survives termination of these Terms.
Confidential information does not include information that: (a) is publicly available, (b) was already known to the receiving party, (c) is independently developed, or (d) is rightfully obtained from a third party.
9. Disclaimers and Warranties
The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to:
- Warranties of merchantability or fitness for a particular purpose
- Warranties of non-infringement
- Warranties that the Services will be uninterrupted or error-free
- Warranties regarding the accuracy or reliability of results
We do not warrant that the Services will meet your specific requirements or that defects will be corrected.
10. Limitation of Liability
To the maximum extent permitted by law, VeriSchema shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:
- Loss of profits, revenue, or data
- Business interruption
- Loss of goodwill or reputation
- Cost of substitute services
Our total liability for any claims arising from or related to the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
11. Indemnification
You agree to indemnify, defend, and hold harmless VeriSchema and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from: (a) your use of the Services, (b) your violation of these Terms, (c) your violation of any rights of another party, or (d) Your Data.
12. Termination
Either party may terminate these Terms at any time:
- You may stop using the Services at any time
- We may suspend or terminate your access if you violate these Terms
- We may terminate free services at any time without notice
- Paid services may be terminated according to your service agreement
Upon termination, your right to use the Services immediately ceases. Sections that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitation of liability.
13. Governing Law and Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules. The arbitration shall take place in Delaware, and judgment on the award may be entered in any court having jurisdiction.
You agree to waive any right to a jury trial or to participate in a class action lawsuit.
14. General Provisions
Entire Agreement
These Terms constitute the entire agreement between you and VeriSchema regarding the Services.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
Waiver
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.
Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control.
